Terms of Use & Terms of Sale

These Terms of Use and Terms of Sale (“Terms”) govern your access to and use of the Book Deal Masterclass™ website, funnels, applications, checkout pages, emails, SMS messages, course portal, live sessions, recordings, downloads, templates, worksheets, prompts, videos, written materials, and related products or services.

Book Deal Masterclass is operated and sold by Heart Transform Media LLC, a Wyoming limited liability company (“Company,” “we,” “us,” or “our”).

By accessing our website, submitting an application, purchasing a product, enrolling in a cohort, accessing course materials, attending a live session, or using any of our services, you agree to these Terms.

If you do not agree to these Terms, do not use the website, purchase our products, or access our materials.


1. Company Roles and Ownership Structure

Book Deal Masterclass™ is sold and operated by Heart Transform Media LLC, a Wyoming limited liability company.

Certain intellectual property, website assets, brand assets, curriculum, course systems, templates, frameworks, prompts, rubrics, videos, transcripts, downloads, funnels, and related materials may be owned, controlled, or managed by Wyoming Secure Holdings LLC and used by Heart Transform Media LLC under license or other authorized arrangement.

Content production, filming, editing, copywriting, transcripts, design assets, creative assets, and related production services may be provided by HT Production & Consulting LLC, a Utah limited liability company, and/or other authorized contractors or affiliated service providers.

These relationships do not transfer any rights to you beyond the limited access rights expressly described in these Terms.


2. Eligibility

You must be at least 18 years old to use this website, purchase a product, enroll in a course, or participate in Book Deal Masterclass.

By using the website or purchasing a product, you represent that you are at least 18 years old and have the legal authority to enter into these Terms.


3. Educational Purpose Only

Book Deal Masterclass provides educational content, live instruction, workflow support, publishing-preparation guidance, submission-packet training, and related resources for writers.

The program is designed to help writers prepare materials commonly used in the traditional publishing submission process, such as query letters, synopses, comps, positioning notes, target-market notes, agent lists, submission trackers, and sending plans.

Book Deal Masterclass is not legal advice, financial advice, career advice, literary agency representation, publishing representation, editorial representation, or a guarantee of any publishing outcome.


4. Not a Literary Agency

Book Deal Masterclass is not a literary agency.

Unless expressly stated in a separate written agreement, we do not:

act as your literary agent;

represent you to literary agents, publishers, editors, scouts, producers, or other industry professionals;

submit your work on your behalf;

negotiate publishing contracts;

guarantee agent responses;

guarantee manuscript requests;

guarantee representation;

guarantee a publishing deal;

guarantee bestseller status, sales, income, media coverage, or career results.

You remain responsible for reviewing, approving, sending, tracking, and managing your own submissions and communications.


5. No Publishing Outcome Guarantee

Publishing decisions are made by literary agents, editors, publishers, and other third parties outside our control.

We cannot and do not guarantee that:

an agent will respond;

an agent will request pages;

an agent will offer representation;

a publisher will acquire your book;

your book will be published;

your book will sell;

your book will receive awards, reviews, media coverage, or commercial success;

your writing career will advance in any specific way.

Your results depend on many factors, including your manuscript, genre, market, timing, writing quality, positioning, agent fit, submission choices, follow-through, industry conditions, and decisions made by third parties.


6. Program Description

Book Deal Masterclass is an 8-week live cohort designed to help eligible students move from a finished manuscript toward an agent-ready submission packet and sending plan.

The core cohort may include, depending on the offer purchased:

live group instruction;

submission-packet training;

query-letter guidance;

synopsis guidance;

comps and positioning guidance;

target-market and timeliness work;

agent-research guidance;

submission tracker support;

sending-plan guidance;

worksheets, templates, prompts, rubrics, or checklists;

recordings or replays, if offered;

course portal access, if offered;

optional add-ons, upgrades, or one-on-one support, if separately purchased.

Specific deliverables, bonuses, live-session schedules, access periods, and add-ons may vary by cohort or offer and will be described on the applicable sales page, checkout page, or enrollment materials.


7. Finished Manuscript Requirement

Book Deal Masterclass is designed for writers with a finished or substantially finished manuscript.

It is not primarily a writing course, manuscript-development program, ghostwriting service, editing service, or manuscript-completion program.

If you enroll without a finished or substantially finished manuscript, your ability to complete the program deliverables may be limited.

You are responsible for determining whether your manuscript is ready for the submission-packet process before enrolling.


8. Applications, Enrollment, and Acceptance

Some offers may be open enrollment. Others may require an application, screening, interview, or approval before purchase or participation.

We reserve the right to accept, decline, waitlist, remove, or limit participation in any cohort, course, community, or offer at our discretion.

Submitting an application does not guarantee acceptance.

Purchasing a product or enrolling in a course does not guarantee any specific publishing outcome.


9. Price and Payment

The standard investment for the Book Deal Masterclass 8-week live cohort is $3,497, unless otherwise stated on the applicable checkout page, promotion, invoice, or written offer.

Payment is due according to the terms displayed at checkout.

Payments may be processed through third-party platforms, including GoHighLevel, Stripe, or other payment processors.

You agree to provide accurate, current, and complete billing information.

If payment fails, is reversed, disputed, charged back, or becomes overdue, we may suspend or revoke access to the course, portal, recordings, materials, bonuses, live sessions, or other services.


10. Payment Plans

If a payment plan is offered, you agree to pay all installments according to the schedule presented at checkout.

A payment plan is not a subscription that can be canceled to avoid remaining installments. It is a commitment to pay the full purchase price over time unless expressly stated otherwise in writing.

Failure to complete payment-plan obligations may result in:

suspended access;

revoked access;

loss of bonuses or materials;

collection activity;

recovery of costs;

legal action where permitted.


11. Subscriptions or Recurring Offers

If any subscription, membership, continuity program, or recurring-payment offer is made available, the billing terms, renewal period, cancellation procedure, and price will be disclosed at or before checkout.

By enrolling in a recurring offer, you authorize recurring charges until you cancel according to the stated cancellation terms.

Cancellation stops future recurring charges but does not automatically refund amounts already paid unless required by law or expressly stated in writing.


12. Refund Policy

Unless a different refund policy is expressly stated on the applicable checkout page or written offer, all sales are final.

Due to the limited-seat nature of live cohorts, immediate access to digital materials, planning resources, templates, systems, live instruction, and administrative preparation, payments are non-refundable except where required by law.

No refunds will be provided for:

failure to attend live sessions;

failure to complete assignments;

change of mind;

lack of time;

failure to use the materials;

dissatisfaction with publishing-industry response rates;

agent rejection or non-response;

manuscript unreadiness;

failure to achieve representation, publication, income, or career outcomes;

removal for violation of these Terms.

If a different refund or guarantee policy is offered for a specific promotion, that policy must be stated in writing and applies only to that specific purchase.


13. Live Sessions, Attendance, and Recordings

Live sessions may be offered as part of the cohort.

You are responsible for attending scheduled sessions and completing work between sessions.

We may provide recordings or replays at our discretion, but recordings are not guaranteed unless expressly stated in the offer terms.

If recordings are provided, they are for authorized student access only and may not be downloaded, copied, recorded, shared, republished, sold, transcribed for distribution, or used outside the permitted course access period.

We may record live sessions for course delivery, replay access, internal training, quality control, or administrative purposes.

By participating in live sessions, you consent to being recorded if recording occurs.

If you do not want your face or voice recorded, you should keep your camera off, mute your microphone, and avoid sharing identifying or sensitive information during recorded sessions.


14. Course Access Period

Access to course materials, recordings, portal content, templates, prompts, worksheets, and downloads is provided for the access period stated on the applicable sales page, checkout page, or enrollment materials.

If no access period is stated, access may be limited to the duration of the cohort plus a reasonable post-cohort review period determined by us.

We reserve the right to modify, update, remove, replace, expire, or discontinue access to materials, platforms, recordings, or bonuses at any time, subject to applicable law and written purchase terms.


15. Student Responsibilities

You are responsible for:

having a finished or substantially finished manuscript;

completing assigned work;

reviewing your own final materials;

verifying facts, comps, agent names, agency details, submission guidelines, deadlines, and contact information;

ensuring your submissions are accurate, truthful, and appropriate;

deciding which agents to query;

sending your own submissions unless a separate written service states otherwise;

complying with agent and agency submission guidelines;

preserving your own manuscript, drafts, notes, passwords, and files;

using good judgment before submitting materials to third parties.

We may provide education, tools, guidance, templates, feedback, or workflow support, but final responsibility for your submission decisions remains yours.


16. Accuracy of Publishing and Agent Information

We may provide or help students develop agent research, submission strategies, market notes, comps, positioning angles, and related publishing-preparation materials.

Publishing information changes frequently. Agents may open or close to submissions, change agencies, change genres, update guidelines, or leave the industry.

We do not guarantee that any agent list, agency information, submission guideline, market note, comp, or research item is complete, current, accurate, or suitable for your manuscript at the time you use it.

You are responsible for independently verifying all agent, agency, publisher, and submission information before sending.


17. AI-Assisted Tools and Materials

Book Deal Masterclass may use or discuss AI-assisted tools for drafting, brainstorming, organization, research support, workflow efficiency, template use, administrative support, or educational purposes.

AI-assisted output may be incomplete, inaccurate, generic, outdated, biased, or unsuitable for submission.

You are responsible for reviewing, editing, fact-checking, and approving any AI-assisted output before using or submitting it.

We do not guarantee that AI-assisted materials will be accepted, preferred, or viewed favorably by agents, publishers, editors, or other industry professionals.

AI is a tool. It is not a substitute for human judgment, manuscript quality, ethical authorship, market awareness, or final review.

18. Intellectual Property Ownership

All Book Deal Masterclass content, videos, transcripts, course materials, templates, prompts, rubrics, frameworks, worksheets, downloads, page designs, graphics, logos, names, taglines, agent-research systems, submission-packet systems, email sequences, and related materials are protected intellectual property.

Ownership remains with Wyoming Secure Holdings LLC, Heart Transform Media LLC, HT Production & Consulting LLC, and/or their authorized affiliates, licensors, or rights holders.

Your purchase or participation does not transfer ownership of any intellectual property to you.

Subject to your compliance with these Terms, you receive only a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use authorized materials for your own individual educational use and your own book-submission preparation.


19. Student Manuscripts and Creative Work

You retain ownership of your manuscript, book concept, original writing, and creative work.

By submitting materials to us, you grant us permission to access, review, store, process, and use those materials as reasonably necessary to provide the course, feedback, workflow support, instruction, customer support, and related services.

You may use your individualized final query, synopsis, comps, positioning notes, agent list, and submission packet for your own book-submission efforts.

You may not copy, sell, distribute, teach, publish, share, or commercially exploit our underlying templates, prompts, rubrics, frameworks, systems, videos, worksheets, examples, course materials, or teaching methods.


20. Prohibited Uses

You may not:

share your login credentials or course access;

allow non-enrolled individuals to access paid materials;

copy, record, screenshot, download, reproduce, distribute, republish, sell, license, or publicly display course materials;

upload course materials to public websites, file-sharing platforms, social media, AI tools, prompt libraries, or databases;

scrape, crawl, harvest, index, mirror, archive, or extract content, data, or materials;

use bots, scripts, automation, screen-recording tools, bulk download tools, or similar technologies to access or copy materials;

use materials to train, fine-tune, benchmark, evaluate, improve, or develop AI systems or machine-learning models;

create competing courses, workshops, coaching services, consulting offers, publishing-preparation products, prompt libraries, template shops, agent-research services, or similar products based on our materials;

reverse engineer, bypass, interfere with, or attempt to access protected systems, pages, portals, workflows, prompts, automations, or tools;

remove copyright, trademark, watermark, metadata, or ownership notices;

use Book Deal Masterclass branding in a way that implies affiliation, endorsement, partnership, or ownership;

misuse another student’s manuscript, book idea, comments, drafts, packet materials, or creative work.


21. Confidentiality and Peer Conduct

If you participate in live sessions, communities, chats, peer-feedback spaces, or group discussions, you may be exposed to other students’ manuscripts, book ideas, questions, drafts, or publishing goals.

You agree not to copy, share, publish, use, steal, adapt, disclose, or exploit another student’s work, ideas, drafts, materials, comments, or personal information.

You agree to participate respectfully and professionally.

We may remove any participant who violates confidentiality, disrupts the cohort, misuses materials, harasses others, shares protected content, or creates legal, reputational, operational, or safety risk.

Removal for cause does not entitle you to a refund.


22. Testimonials, Feedback, and Reviews

If you voluntarily provide feedback, comments, reviews, testimonials, survey responses, or suggestions, you grant us permission to use them for business, improvement, and marketing purposes, subject to applicable law and any separate written agreement.

We will not intentionally publish your full name, likeness, book title, manuscript excerpt, or identifiable creative details in marketing materials without permission.

Testimonials reflect individual experiences and are not guarantees of typical or future results.


23. Community Rules and User Content

If we provide a community, forum, comment area, chat space, or peer-feedback environment, you are responsible for what you post.

You may not post content that is unlawful, infringing, confidential without permission, abusive, harassing, defamatory, misleading, spammy, promotional without permission, or otherwise inappropriate.

We may remove content, restrict access, or terminate participation at our discretion.

By posting content in a course or community environment, you grant us permission to display, store, moderate, and use that content as reasonably necessary to operate the course or community.


24. Third-Party Platforms and Tools

We may use third-party platforms for payment processing, CRM, email, SMS, course hosting, video conferencing, recordings, analytics, advertising, scheduling, file sharing, AI tools, or other services.

We are not responsible for third-party downtime, errors, policies, privacy practices, data handling, account restrictions, platform changes, or service interruptions.

Your use of third-party platforms may be subject to their own terms and privacy policies.


25. Account Suspension and Termination

We may suspend, restrict, or terminate your access to the website, course, portal, recordings, downloads, live sessions, community, or services if we believe you have:

violated these Terms;

failed to make required payments;

shared access or materials;

copied or misused intellectual property;

disrupted the cohort;

violated confidentiality;

harassed or harmed others;

attempted unauthorized access;

created risk for the business, instructors, affiliates, students, or rights holders.

Access terminated for cause may be revoked without refund.


26. Disclaimers

The website, course, materials, services, recordings, templates, prompts, guidance, and communications are provided “as is” and “as available.”

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, completeness, availability, non-infringement, and suitability for any particular publishing outcome.

We do not guarantee that the website, course portal, recordings, downloads, emails, platforms, AI tools, or third-party services will be uninterrupted, error-free, secure, or available at all times.


27. Limitation of Liability

To the fullest extent permitted by law, Heart Transform Media LLC, Wyoming Secure Holdings LLC, HT Production & Consulting LLC, and their owners, members, managers, officers, employees, contractors, affiliates, licensors, service providers, and agents shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or similar damages arising out of or related to your use of the website, course, materials, services, or third-party platforms.

This includes, without limitation, loss of profits, loss of opportunity, loss of manuscript value, loss of publishing opportunity, rejection by agents or publishers, failure to obtain representation, business interruption, emotional distress, data loss, or reputational harm.

To the fullest extent permitted by law, our total liability for any claim shall not exceed the amount you paid to Heart Transform Media LLC for the specific product or service giving rise to the claim.


28. Indemnification

You agree to defend, indemnify, and hold harmless Heart Transform Media LLC, Wyoming Secure Holdings LLC, HT Production & Consulting LLC, and their owners, members, managers, officers, employees, contractors, affiliates, licensors, service providers, and agents from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

your use or misuse of the website, course, or materials;

your violation of these Terms;

your violation of another person’s rights;

your misuse of intellectual property;

your submissions to agents, publishers, editors, or other third parties;

your user content;

your breach of confidentiality;

your payment disputes or chargebacks;

your unlawful, negligent, or wrongful conduct.


29. Arbitration and Class Action Waiver

Any dispute, claim, or controversy arising out of or relating to these Terms, the website, any purchase, any course, any service, or any relationship with us shall be resolved by binding individual arbitration, except where prohibited by law or where we seek injunctive or equitable relief for intellectual property misuse, unauthorized access, confidentiality violations, or infringement.

You and the Company agree to resolve disputes only on an individual basis.

You waive any right to participate in a class action, class arbitration, collective action, representative action, or jury trial to the fullest extent permitted by law.

Claims eligible for small claims court may be brought in small claims court.


30. Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles, except to the extent federal law applies.

If arbitration does not apply, you agree that any legal proceeding shall be brought in a court located in Wyoming unless otherwise required by law.


31. Injunctive Relief

You acknowledge that unauthorized use, copying, sharing, scraping, AI training, republication, resale, distribution, or misuse of our intellectual property, confidential materials, course systems, student materials, or platform access may cause irreparable harm.

We may seek injunctive or equitable relief without posting bond, in addition to any other remedies available.


32. Changes to the Website, Course, or Terms

We may update, revise, replace, remove, suspend, or discontinue any website content, course materials, templates, recordings, bonuses, platform features, offers, prices, policies, or services at any time, subject to applicable law and any specific written purchase terms.

We may update these Terms from time to time. Updated Terms will be posted on this page with a revised effective date.

Your continued use of the website, materials, or services after changes are posted means you accept the updated Terms.


33. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

The unenforceable provision will be modified to the minimum extent necessary to make it enforceable where permitted by law.


34. Entire Agreement

These Terms, together with our Privacy Policy, Intellectual Property Notice, AI Use & Ethics Policy, Disclaimers, checkout terms, and any written program-specific terms, form the agreement between you and us regarding your use of the website, materials, products, and services.

If a signed written agreement conflicts with these Terms, the signed written agreement controls to the extent of the conflict.
